AEVIS VICTORIA SA / Key word(s): Miscellaneous Ad hoc announcement pursuant to Art. 53 LR Fribourg, 28 October 2022 AEVIS VICTORIA SA – AEVS.SW – Visana enters into the share capital of Hôpital du Jura Bernois, a subsidiary of Swiss Medical Network Swiss Medical Network SA, a 90%-subsidiary of AEVIS VICTORIA SA (AEVIS), has announced that Visana is entering into the share capital of Hôpital du Jura Bernois SA (HJB SA) through a capital increase subscribed by Visana Beteiligungen AG. As of 1 January 2023, Hôpital du Jura Bernois SA will become “Réseau de l'Arc SA", the first integrated healthcare organization in Switzerland, which will offer medical services combined with a health insurance product to the residents of the Jura Arc region. With 35.1%, Swiss Medical Network AG will become a minority shareholder of Réseau de l'Arc SA as of 1 January 2023. Réseau de l'Arc SA will thus be deconsolidated as of that date. With its 32.4% stake, Visana will be the third reference shareholder of the integrated healthcare organization, alongside Swiss Medical Network and the canton of Bern (32.4%). AEVIS’ consolidated turnover for 2023 will decrease following the deconsolidation of Réseau de l’Arc. The overall profitability of the group will however increase, which will reinforce the value of the participation in Swiss Medical Network. With its participation in the Réseau de l'Arc, Swiss Medical Network confirms its leading position in the transformation of the Swiss hospital landscape.
